These Terms and Conditions ("Terms") govern your use of the LaySun website (laysun.co) and the purchase of products from LaySun, a manufacturer of fire-rated PE artificial plants headquartered at No. 25 Qiaofeng Road, Qishi Town, Dongguan, Guangdong, China ("LaySun", "we", "us", or "our").
By accessing our website or placing an order, you confirm that you have read, understood, and agreed to these Terms. LaySun operates exclusively as a B2B (business-to-business) supplier. Our products and services are intended for businesses, contractors, designers, and commercial operators — not for individual consumers.
You may use this website for lawful business purposes, including browsing product information, submitting inquiries, and requesting quotes. You agree not to:
We strive to keep product information, specifications, and pricing up to date. However, we do not warrant that all website content is accurate, complete, or current at all times. Product specifications and availability are subject to change without notice. Final specifications are confirmed in writing at the time of order.
All orders placed with LaySun are B2B commercial transactions. By placing an order, you represent that you are purchasing on behalf of a registered business entity and that you have the authority to enter into a binding commercial agreement.
An order is not confirmed until LaySun issues a written order confirmation or proforma invoice. Verbal agreements or website inquiries alone do not constitute a binding order.
All products are manufactured to the specifications agreed upon in writing at the time of order. Any changes to specifications after production has commenced may result in additional charges or delays. Custom orders are produced based on buyer-approved specifications; LaySun is not liable for errors in specifications provided by the buyer.
Minimum order quantities (MOQs) apply to certain product lines. MOQs are communicated during the quoting process and confirmed in the order documentation.
All prices are quoted in US Dollars (USD) unless otherwise agreed in writing. Quoted prices are valid for 30 days from the date of issue unless otherwise stated. Prices are subject to change based on material costs, order volume, and other commercial factors.

Accepted payment methods include bank wire transfer (T/T) and other methods confirmed in writing. Payments must be received in full before goods are released for shipment. LaySun reserves the right to cancel an order if payment is not received within the agreed timeframe.
All prices are exclusive of any applicable taxes, customs duties, import fees, or other government-imposed charges. The buyer is solely responsible for all duties, taxes, and import costs applicable in the destination country. See our Shipping Policy for further details.
All content on this website — including text, images, product designs, logos, graphics, and branding — is the property of LaySun or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or use any content from this website without our prior written consent.
Product designs, molds, and manufacturing processes developed by LaySun remain our exclusive intellectual property. Custom designs created for a client remain the property of LaySun unless a written IP assignment agreement is executed separately.
To the fullest extent permitted by applicable law:
LaySun manufactures fire-rated PE artificial plants certified to applicable Chinese fire safety standards. It is the buyer's responsibility to verify that our products meet the fire safety, building, and import regulations applicable in their country or region before purchase. LaySun makes no warranty that its products comply with the laws or standards of any specific jurisdiction outside of China unless explicitly stated in writing.
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of Guangdong Province, the People's Republic of China, without regard to conflict of law principles.
In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation within 30 days of written notice of the dispute. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Dongguan, Guangdong, China, administered under the rules of the China International Economic and Trade Arbitration Commission (CIETAC). The language of arbitration shall be English or Chinese, as agreed by both parties.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
We reserve the right to update these Terms at any time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of the website or placement of orders after changes are posted constitutes acceptance of the updated Terms.
